Structuring, DAOs, DeFi & Complex Transactions
Antonia advises on the most sophisticated structures in the decentralised ecosystem: DAO structuring under French law, constitution of DeFi protocols and establishment of crypto-asset investment funds. At d&a partners, the first French law firm to have developed a dedicated practice in these structures, she covers the full legal chain — from protocol design to contractual documentation.
Antonia focuses on the contractual dimension of DeFi: drafting and negotiating integration agreements, structuring liquidity arrangements and framing on-chain governance. Her approach combines legal expertise with a direct reading of protocol architectures and smart contracts, producing precise documentation grounded in the functional reality of protocols.
Venture Capital & Fundraising
Antonia advises founders and investment funds on their equity, debt and crypto-asset financing transactions. Her practice covers the full scope of contractual documentation: term sheets, shareholders’ agreements, investment agreements.
Her matters regularly involve blockchain and crypto-asset sectors, for transactions with institutional players or early-stage projects, often in technically complex and highly regulated environments.
Mergers & Acquisitions: Tech, Blockchain & Regulated Environments
Antonia advises on M&A transactions involving technology-driven companies — blockchain, fintech — acting for both acquirers and sellers. She handles legal due diligence, transactional documentation and strategic negotiations, in close coordination with all parties to the transaction.
She also handles transactions involving crypto-assets themselves: acquisition of decentralised protocols, transfer of on-chain treasuries and assignment of governance rights.
Teaching
Antonia teaches in the Banking and Financial Law Master’s programme at the University of Montpellier, one of France’s leading specialised programmes in regulated financial law. She brings a practitioner’s perspective on crypto-assets and decentralised finance, directly informed by her day-to-day caseload at the firm.
